Filing late is a criminal offence
Although there are no automatic fines for late filing, failing to submit your confirmation statement on time is a criminal offence. Directors may be personally fined for non-compliance, and Companies House may attempt to strike your company off its register. Your statement must be filed within 14 days of your company's review period ending.

What is a confirmation statement?
A confirmation statement is a legal document that all UK limited companies must submit to Companies House every 12 months. It confirms the key details of your company as of the end of your review period, including your registered office address, shareholders, SIC codes, share capital, and any Persons of Significant Control (PSCs).
Is a confirmation statement the same as the old annual return?
Yes. In 2016, the confirmation statement replaced the annual return. It serves the same purpose but uses an updated format and is filed using the CS01 form.
Do dormant companies need to file a confirmation statement?
Yes. All limited companies must file a confirmation statement annually, even if the company is dormant or no details have changed during the review period. There are no exceptions.
What happens if I don't file on time?

A PSC is someone who owns more than 25% of the shares or voting rights in a business, can appoint or remove the majority of the board of directors, or exercises significant influence or control over the company. All limited companies are required to declare their PSCs.
